Satin Creditcare Network Limited (satin) Announces ₹100.10 Crore Preferential Issue of Convertible Warrants
Satin Creditcare Network Limited (NSE: SATIN) announces a ₹100.10 crore preferential issue of convertible warrants to promoters, reflecting strong confidence.
Satin Creditcare Network Limited (NSE: SATIN), one of India’s leading microfinance institutions, announced on June 4, 2026, the issuance of up to 38,50,000 Fully Convertible Warrants (FCW) on a preferential basis to its Promoter & Promoter Group entity, Trishashna Holdings & Investments Private Limited, at an issue price of ₹260 per warrant, aggregating to ₹100.10 crore. The issue price of ₹260 per warrant represents a premium of approximately ~17% over the SEBI-determined floor price of ₹222.82, being the higher of the 10-day and 90-day volume-weighted average prices of the Company’s equity shares preceding the relevant date. Each warrant is convertible into one fully paid-up equity share of face value ₹10, exercisable within 18 months of allotment.
Promoter Confidence in Long-Term Growth
The issue price is also at a premium of 10.5% to the closing market price of ₹235.25 as on 3rd June 2026, and is virtually equal to the consolidated book value of ₹259 per share as of March 31, 2026, underscoring the promoters’ conviction that the Company’s intrinsic value is substantially higher than current market levels. The proceeds from this issuance will strengthen SCNL’s capital base and support the growth ambitions. Post conversion, promoter shareholding will increase from approximately 36.17% to 38.32% on a fully diluted basis.
Strategic Growth and Future Plans
Commenting on the development, Dr H P Singh, Chairman cum Managing Director, Satin Creditcare Network Limited, said: ‘This investment is a direct expression of our belief in what Satin Creditcare is building — and what it will become. We are investing at a premium not despite market conditions, but because we see a business whose full value is yet to be recognised. The proposed preferential allotment is subject to approval of shareholders through postal ballot and compliance with applicable provisions of the Companies Act, 2013 and SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018. The e-voting period opens on June 5, 2026 and closes on July 4, 2026.’ As Satin Creditcare Network Limited continues to expand its footprint and diversify its services, this capital infusion marks a significant step towards its ambitious goals.
