Shyam Metalics and Energy Limited (NSE: Shyammetl) Announces Strategic Amalgamation of Subsidiary
Shyam Metalics and Energy Limited (NSE: SHYAMMETL) announces strategic merger of subsidiary Shyam Sel and Power Limited with Shree Venkateshwara Electrocast.
Shyam Metalics and Energy Limited (NSE: SHYAMMETL), a leading integrated metal producing company in India, announced today that the Hon’ble National Company Law Tribunal (NCLT), Kolkata Bench, has approved the Scheme of Amalgamation of Shree Venkateshwara Electrocast Private Limited (SVEPL) into and with Shyam Sel and Power Limited (SSPL), a flagship wholly-owned subsidiary of the Company.
Strategic Rationale
The amalgamation brings complementary product specializations under a single corporate umbrella. It rationalizes and centralizes the Group’s growing aluminium foil product portfolio, enabling operational efficiencies, enhanced supply chain coordination, and seamless market reach.
Financial Synergies
Under Section 72A of the Income-tax Act, 1961, the merger allows SSPL to absorb and set off the accumulated carried-forward business losses and unabsorbed depreciation of SVEPL, creating a comprehensive eligible tax shield for the combined entity. This tax set-off yields a substantial direct net tax benefit and immediate cash-flow savings for the combined entity.
Future Outlook
Speaking on the development, Mr. Brij Bhushan Agarwal, Chairman & Managing Director of Shyam Metalics and Energy Limited, stated: ‘The Hon’ble NCLT approval for the consolidation of Shree Venkateshwara Electrocast into Shyam Sel and Power Limited marks a significant operational step forward.’ As a result, the company expects to drive operational flexibility and optimize working capital.
