Quality Power Acquires Winwin Specialty Insulators in ₹315 Crore Deal
The acquisition adds 18,000 MTPA ceramic insulator capacity and targets ₹500 crore HVDC market expansion.
Quality Power Electrical Equipments has signed a term sheet to acquire 100% equity of Winwin Specialty Insulators at an enterprise value of approximately ₹315 crore. The deal is expected to close within three months, TradeAlone learns. The acquisition marks a major strategic push by Quality Power into the high-voltage direct current, or HVDC, equipment space. Management says the move could add up to ₹500 crore to the company's addressable market.
Deal Structure and Valuation
Quality Power has valued Winwin Specialty Insulators on an asset basis, not on an EBITDA multiple. The total enterprise value stands at approximately ₹315 crore. Of this, the net cash consideration is around ₹285 crore. The remaining ₹30 crore comes in the form of existing debt that Quality Power will absorb onto its books.
The deal also includes an equity swap component. Around 50% of Winwin's equity will be exchanged with the sellers on a preferential share basis. This structure reduces the immediate cash outflow for Quality Power while aligning the interests of the original investors.
Varanidaran Pandian, Joint Managing Director of Quality Power, confirmed the deal details to TradeAlone. He noted that Winwin's last reported annual revenue for FY25 was approximately ₹15 crore. The low revenue figure reflects the company's recent refurbishment phase rather than its operational capacity, the management stated.
The deal closure is targeted within the next three months, subject to regulatory and due diligence processes. Quality Power has not disclosed the specific financing mix for the ₹285 crore cash component at this stage.
Quality Power Electrical Equipments Limited belongs to the Industrials › Electrical Equipment & Parts sector. Here’s a quick read on where the business and the stock stand today.
What Quality Power Gets From the Acquisition
Winwin Specialty Insulators brings a fully automated manufacturing plant equipped with German and European technology. The facility has an installed capacity of 18,000 metric tonnes per annum, or MTPA. This capacity was built after a complete refurbishment that began in 2022.
The plant has a significant history. It was originally established in 1961 under WS Industries Limited, one of India's earliest manufacturers of ultra-high-voltage insulators. The facility was severely damaged during Cyclone Hudhud in 2014. New investors acquired the asset in 2022 and rebuilt it with state-of-the-art machinery.
Through this acquisition, Quality Power gains the ability to manufacture ceramic insulators rated up to 1,200 kilovolts, or kV. It also adds polymer insulators rated up to 400 kV to its product portfolio. Both product lines are critical components in high-voltage transmission infrastructure.
Pandian told TradeAlone that access to in-house insulator manufacturing is strategically important. Quality Power already supplies reactors, instrument transformers, and high-frequency filters. Adding insulators means all existing product divisions can now source a critical component internally, improving both margins and delivery timelines.
Revenue Outlook and Strategic Rationale
Quality Power's management believes the Winwin acquisition will significantly expand its footprint in the HVDC segment. Pandian stated that the addition of insulators to the company's existing HVDC product suite could increase the addressable market by approximately ₹500 crore. The company expects this impact to become visible by FY27 and FY28.
The HVDC sector in India is growing rapidly. The government's push for long-distance power transmission and renewable energy integration is driving demand for high-voltage equipment. Quality Power aims to position itself as a fully integrated player in this space.
The acquisition also supports Quality Power's broader goal of becoming a complete high-power, or HP, equipment provider. Management stated that moving toward an integrated model reduces dependence on third-party suppliers and strengthens the company's competitive position in large project bids.
With Winwin's plant now refurbished and ready for scale-up, Quality Power believes it can ramp revenues from the current ₹15 crore base to a significantly higher level over the next two to three years. The asset-based valuation approach suggests the company sees long-term value in the manufacturing infrastructure rather than near-term earnings.
Key Facts
- Quality Power signed a term sheet to acquire 100% equity of Winwin Specialty Insulators at an EV of ₹315 crore
- Net cash consideration is approximately ₹285 crore; ₹30 crore in existing debt will be absorbed by Quality Power
- 50% of Winwin's equity will be swapped on a preferential share basis, reducing immediate cash outflow
- Winwin's manufacturing plant has a capacity of 18,000 MTPA with automated German and European technology
- The acquisition adds ceramic insulators up to 1,200 kV and polymer insulators up to 400 kV to Quality Power's portfolio
- Management expects the deal to add approximately ₹500 crore to Quality Power's HVDC addressable market by FY27-FY28
Market Impact
The acquisition signals Quality Power's intent to become a fully integrated HVDC equipment supplier, a segment seeing strong order inflows as India expands its high-voltage transmission network. Investors are likely to watch for revenue ramp-up timelines at the Winwin facility and any large HVDC project wins that bundle insulators with Quality Power's existing product lines. The asset-based deal structure and equity swap component may limit near-term earnings dilution, which could be viewed positively by the market.

Praj Industries Limited belongs to the Industrials › Engineering & Construction sector. Here’s a quick read on where the business and the stock stand today.
Praj drops 17.2% over three months and trades near its 52-week lows. Razor-thin margins below 5% make profitability extremely vulnerable — this business needs scale or pricing power urgently. Revenue contracts at -3.2% CAGR. That signals structural headwinds, not a short-term blip. The stock sits at 9% of its 52-week range, close to annual lows. Historically, value investors build positions at these levels — though cheap stocks can stay cheap. Revenue grows at -3.2% yet the PEG reaches 99.00 — expensive for that growth. Furthermore, the stock drops 17.2% in three months. Neither value nor momentum supports this setup. It needs an earnings beat or a price reset first. Check Fundamentals of Praj Industries Limited.
