GE Power India Limited (GVPIL) has announced a strategic demerger of its Durgapur facility, marking a significant step in its operational restructuring and growth strategy. This move is designed to unlock inherent value for GVPIL shareholders and streamline the company’s focus on its core services.

Ongoing Initiatives and Turnaround Journey

Since 2024, GVPIL has focused on high-margin, cash accretive deals with a faster cash conversion cycle. The company has restructured its commercial strategy, freezing it to focus solely on services. This has led to growth in its core services business through penetration in OEM fleet and an expanded presence across multiple international markets.

Key Dynamics of the Durgapur Facility

The Durgapur facility, located in West Bengal, has been instrumental in manufacturing and supplying critical power equipment. However, there has been significant underutilization of the facility in recent years, resulting in an average annual loss of INR 27 crores. To address this, GVPIL evaluated multiple options, including the demerger of the Durgapur business or retention of the factory.

Strategic Demerger to Maximize Shareholder Value

GVPIL is undertaking a Scheme of Arrangement to demerge its Durgapur business unit to JSW Energy Limited. Upon sanction by the National Company Law Tribunal (NCLT), the business will transition on a ‘going concern, as-is-where-is’ basis, effective from July 1, 2025. This strategic initiative is designed to unlock value for GVPIL shareholders through enhanced entitlement, preserved equity, and strategic agility.

Shareholders will receive 10 fully paid-up equity shares of JSW Energy (₹10 each) for every 139 fully paid-up equity shares of GVPIL (₹10 each). Existing shareholders will retain their current position in GVPIL while gaining direct equity participation in JSW Energy.

The Board of Directors has unanimously approved this resolution, inviting shareholders to vote on the scheme. The demerger aims to support regulatory efficiency and focused growth, providing both entities with the specialized focus and agility required to lead in the evolving energy sector.

Management assures that there will be no disruption to manufacturing and fabrication support for the Core Services business. A 5-year manufacturing services agreement with JSW Energy secures reserved capacity at pre-agreed schedules and pricing. Concurrent efforts to establish an independent supply chain are progressing well, with full supply chain independence targeted in the near future.

This phased transition is designed to protect order execution and service delivery commitments while building a resilient long-term manufacturing ecosystem.
