QMS Medical Allied Services Ltd (QMS MAS) has completed the 100% acquisition of Saarathi Healthcare Pvt Ltd, making it a wholly owned subsidiary. This acquisition marks a significant step in QMS MAS’s strategy to build an integrated healthcare services platform. The company began its acquisition journey with Saarathi Healthcare in June 2024 with a 51% stake, which was subsequently increased to 76% in October 2025. With the acquisition of the remaining 24% stake, QMS MAS now holds 100% ownership of Saarathi Healthcare.

Strategic Expansion

The complete acquisition will significantly boost QMS MAS’s services portfolio and further strengthen its presence in the healthcare services and patient management segment. QMS MAS specializes in patient screening services through innovative Patient Service Programs (PSP) and the supply of diagnostic medical devices, enabling access to advanced diagnostic testing and supporting early intervention and preventive healthcare.

Enhanced Capabilities

Saarathi Healthcare brings complementary capabilities across disease management, early diagnosis, and screening through point-of-care devices, disease awareness, and access programs across therapies. Its model combines digital tools with physical patient engagement, enabling healthcare programs across different stages of the patient journey. This acquisition will allow QMS MAS to provide a more connected continuum of care.

Commenting on the acquisition, Mr. Mahesh Makhija, CMD, QMS Medical Allied Services Ltd, said, “The 100% acquisition of Saarathi Healthcare marks an important milestone in our journey towards building a comprehensive and integrated healthcare services platform. As part of the transaction, QMS MAS acquired the balance 24% equity stake comprising 1,98,000 shares for a cash consideration of 14.225 crore, increasing its shareholding in Saarathi Healthcare from 76% to 100%. This development further strengthens QMS MAS’s broader strategy of building an integrated healthcare platform spanning early detection, patient screening, disease management, and sustained patient engagement.

QMS Medical Allied Services Limited (NSE: QMSMEDI), a leading integrated healthcare solutions company, today announced the signing of an exclusive five-year agreement with HEINE Optotechnik, a globally reputed primary diagnostic instruments company. The agreement, which was signed at the HEINE headquarters in Gilching, Germany, designates QMS as the sole distributor in India for HEINE’s wide range of diagnostic instruments starting from 1st January 2027. This partnership is expected to significantly boost QMS’s product business, leveraging its pan-India distribution capabilities.

Exclusive Marketing and Distribution Rights

Under the agreement, QMS will be the exclusive distributor for HEINE Optotechnik’s products across India for the next five years. The contract includes General Medicine and ENT-Instruments, Dermatoscopes, Ophthalmic Instruments, Laryngoscopes, Loupes, Headlights, Veterinary Diagnostic Instruments, Power Sources, Bulbs, Cases, Spare parts, and special products. HEINE shall not appoint or supply any other distributor for these products in India.

Expected Growth and Market Impact

HEINE’s net revenues from India for 2026 are expected to be around 2.6 million Euros (~Rs. 30 crore). The partnership is anticipated to increase QMS’s turnover to Rs. 70 crore by 2031. This agreement aligns with QMS’s strategy to expand its product business and accelerate its growth trajectory over the next five years.
